1. Overview

These Terms of Service ("Terms") govern your access to and use of Planelo – including the website planelo.app, mobile and desktop apps, and related APIs (collectively, the "Service").

The Service is operated by BO Gastro Services s.r.o., Kaprova 42/14, 110 00 Praha 1, IČO: 24165590 ("we", "us", "our").

By creating an account, using the app or accessing the API, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Planelo is a personal idea and project hub designed primarily for developers.

With Planelo you can, among other things:

Create and manage projects and ideas
Store encrypted notes, tags, priorities and statuses
Maintain a "project brain" document for each project
Generate API keys for external tools and AI agents
Track API usage and limits based on your subscription tier

We may modify, suspend, or discontinue parts of the Service at any time, with or without notice.

3. Eligibility

You may use the Service only if all of the following apply:

You are at least 16 years old (or older, if required in your country).
You have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
You provide accurate and complete registration information.

4. User Accounts

To use most features, you must create an account using a valid email address and password.

You are responsible for all activity under your account.
You must keep your password and authentication tokens secure.
You must notify us immediately if you suspect unauthorized access.

We reserve the right to suspend or delete accounts that violate these Terms or are used for abuse, fraud or illegal activity.

5. User Content & Encryption

You retain all rights to the content you store in Planelo, including ideas, notes, project metadata and tags ("User Content").

Idea titles and bodies are stored in encrypted form on our servers. We implement encryption (for example AES-256-GCM) so that your idea content is not readable in plaintext in our databases.

You agree that:

You are solely responsible for the content you upload and store.
Your content does not violate any applicable law, intellectual property rights, or third-party privacy rights.
You will not use the Service to store or share content that is illegal, harmful, abusive, harassing, or otherwise objectionable.

We do not sell your User Content. We process it only as necessary to operate, maintain and improve the Service.

6. API Keys & Integrations

Planelo allows you to generate API keys to integrate external tools and agents with your workspace.

By generating or using an API key, you agree to:

Keep your API keys secret and secure.
Be fully responsible for all actions taken using your keys, including actions by third-party tools or agents.
Immediately revoke keys that may have been compromised.
Not share keys publicly or embed them into publicly accessible repositories or code.

We may limit, throttle or revoke API access if we detect abuse, security risks or violation of these Terms.

7. Plans, Subscriptions & Payments

Planelo may offer a free tier (e.g. Starter) and paid plans (e.g. Planelo Pro) with enhanced limits and features.

Paid plans are typically billed as recurring subscriptions via app stores or other payment providers.
Your subscription renews automatically at the end of each billing period unless you cancel according to the store’s rules.
Cancellations are effective at the end of the current billing period; you retain access to Pro features until then.
Refunds (where applicable) are generally handled by the platform where you purchased (e.g. Apple App Store) according to their policies.

We may change plan prices, limits or features. If we make material changes to a paid plan you are on, we will seek to inform you in advance where reasonably possible.

8. Fair Use, Rate Limits & Usage

To protect the Service and ensure a good experience for all users, we apply monthly API usage limits, which depend on your plan.

You agree not to:

Deliberately exceed documented API limits or attempt to bypass them.
Flood the API with excessive automated traffic.
Use the Service in a way that degrades performance for others.

When you hit your plan’s limit, some requests may be rejected until the next usage period or until you upgrade your plan.

9. Prohibited Use

You must not use the Service to:

Violate any applicable law or regulation.
Infringe intellectual property or privacy rights of others.
Transmit malware, spam or other harmful code.
Probe or breach our security or authentication measures.
Reverse engineer or otherwise attempt to derive the source code of the Service, except where allowed by law.
Create multiple accounts to circumvent plan limits or restrictions.

We reserve the right to investigate and take appropriate action, including account suspension or termination, if we believe you are violating these prohibitions.

10. Intellectual Property

The Service, including its design, logo, code, documentation and all related materials (excluding your User Content), is our property or the property of our licensors.

You are granted a limited, non-exclusive, non-transferable and revocable license to use the Service for your personal or internal business purposes, in accordance with these Terms.

You may not copy, modify, distribute, sell or lease any part of the Service unless expressly permitted by us in writing.

11. Service Availability & Changes

We strive to keep Planelo available and reliable, but we do not guarantee uninterrupted operation.

We may, at any time and without liability:

Modify or update features.
Temporarily suspend the Service for maintenance or security reasons.
Discontinue parts or all of the Service.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied.

We specifically disclaim any warranties of:

merchantability,
fitness for a particular purpose,
non-infringement,
and non-interruption or error-free operation.

You are responsible for backing up your data and for any consequences of using the Service.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.
Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the amount you have paid us for the Service in the twelve (12) months preceding the event giving rise to the claim (or EUR 0 for free users).

14. Termination

You may stop using the Service and request account deletion at any time.

We may suspend or terminate your access if:

You materially or repeatedly breach these Terms.
Your usage poses a security or stability risk.
We are required to do so by law or by a competent authority.

Upon termination, your right to use the Service will cease. Some provisions (including intellectual property, limitations of liability and dispute clauses) will continue to apply.

15. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available at planelo.app/terms.

If changes are material, we may notify you via email or within the app. By continuing to use the Service after changes become effective, you agree to the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the Czech Republic, without regard to its conflict of laws rules.

Any disputes arising out of or in connection with the Service shall be resolved by the competent courts of the Czech Republic, unless mandatory law provides otherwise.
